Access and use of SAGE Early Years Masterclass is governed by the terms and conditions set forth herein. The following notes provide general information on how you may use SAGE Early Years Masterclass. The Terms of Use hereinafter set forth take precedence over these Notes for Users.
1. You may have access to, and use a SAGE Early Years Masterclass video and/or transcripts if you agree to abide by and be bound by the Terms of Use.
2. Access to SAGE Early Years Masterclass videos is provided via Vimeo. SAGE Early Years Masterclass videos are made available with a fixed access period of February 16-24 2019 or an All Access pass can be purchased which allows access for a fixed access period of twelve calendar months February 16 2019 through February 15 2020 (the "Access Period") to the video and transcripts content. All materials on SAGE Early Years Masterclass are copyrighted or licenced to SAGE Publications Ltd.
3. If you signed up through the early-bird promotion or paid to view the videos during the fixed access period of February 16-24 2019, you may view any videos during that time for your own private non-commercial use. If you paid for the All Access pass, you may view any videos and download the transcripts pdfs during the Access Period for your own private non-commercial use. If you paid for the Transcripts option, you can only download the transcripts pdfs for your own private non-commercial use. If you paid for a Certificate, you will be responsible to follow the instructions provided to obtain your certificate via email.
4. You may not share materials from the transcripts with others, nor may you make them publically available or use them in any way for commercial purposes. You may not extract individual elements of the transcripts except for your own private non-commercial use.
5. You may not (i) sell; (ii) loan; (iii) lease; (iv) transfer; (v) modify or (vi) reproduce or otherwise use the SAGE Early Years Masterclass transcripts or any part of them except as permitted in the Terms of Use.
6. You may not share your login or access details to SAGE Early Years Masterclass with anyone and you will retain and protect the security of this information as confidential information at all times.

THESE ARE THE GENERAL TERMS AND CONDITIONS THAT YOU AGREE TO BE BOUND BY GOVERNING YOUR USE OF OUR WEBSITE AND OUR SERVICES.
Welcome to the SAGE Early Years Masterclass website! SAGE Publications Ltd., its subsidiaries, affiliates and related entities (collectively referred to herein as "SAGE", "we", "our", "us") provides this website and the materials located at and under the domain name https://masterclass.sagepub.com and such other domains as SAGE operates or may in the future operate (collectively, this "Site”) and any other SAGE services offered on this Site as described in Section 1.2 below (collectively, the "Services") to you, the user, subject to compliance with these Terms of Use relating to this Site and the Services (collectively, this "Agreement"). 3.3 PROHIBITED USES.

6. PASSWORDS; SECURITY.

You are the sole and exclusive owner of the Password and ID combination. You agree to maintain the confidentiality and security of your Password and ID. You shall notify SAGE by email at SageMasterclassSupport@sagepub.co.uk of any known or suspected unauthorized use of the Services, of any known or suspected breach of security, including, without limitation, loss, theft, or unauthorized use of your Password or ID.
7. REPRESENTATIONS; WARRANTY DISCLAIMER.
Subject to the terms below, SAGE represents that it has the right to license the rights granted under this Agreement.
SAGE MAKES NO REPRESENTATION OR WARRANTY, AND EXPRESSLY DISCLAIMS ANY RESPONSIBILITY FOR LIABILITY WITH RESPECT TO YOUR USE OF THE SITE OR THE SERVICES OR THE RESULTS OBTAINED FROM YOUR USE OF THE SITE OR THE SERVICES, INCLUDING, BUT NOT LIMITED TO, LIABILITY ASSOCIATED WITH ERRORS OR OMISSIONS, LIBEL, INFRINGEMENT OR VIOLATION OF RIGHTS OF PUBLICITY, PRIVACY, INTELLECTUAL PROPERTY RIGHTS, OR MORAL RIGHTS, OR THE DISCLOSURE OF CONFIDENTIAL INFORMATION.
MOREOVER, EXCEPT FOR THE EXPRESS WARRANTIES STATED HEREIN, THE SITE AND THE SERVICES ARE PROVIDED ON AN "AS IS" AND “AS AVAILABLE” BASIS, AND SAGE DISCLAIMS ANY AND ALL OTHER WARRANTIES, CONDITIONS, COVENANTS, OR REPRESENTATIONS (EXPRESS, IMPLIED, ORAL OR WRITTEN), RELATING TO THE SITE OR THE SERVICES OR TO ANY PARTS THEREOF, INCLUDING, WITHOUT LIMITATION, ANY AND ALL IMPLIED WARRANTIES OF QUALITY, PERFORMANCE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. SAGE ALSO MAKES NO WARRANTIES RESPECTING AND SHALL HAVE NO RESPONSIBILITY FOR ANY HARM THAT MAY BE CAUSED BY THE TRANSMISSION OF A COMPUTER VIRUS, WORM, TIME BOMB, LOGIC BOMB OR OTHER SUCH COMPUTER PROGRAM OR OTHERWISE. SAGE FURTHER EXPRESSLY DISCLAIMS ANY WARRANTY OR REPRESENTATION TO ANY THIRD PARTY.
NOTWITHSTANDING ANYTHING HEREIN TO THE CONTRARY, SAGE SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF PROFITS, ARISING OUT OF THE USE OF OR THE INABILITY TO USE THE SITE OR THE SERVICES (EVEN IF SAGE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES). IN ADDITION, IF YOU ARE A COMPANY DOING BUSINESS IN CALIFORNIA, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE §1542, WHICH SAYS:"A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor" AND YOU HEREBY WAIVE ANY AND ALL SIMILAR STATE STATUTES THAT MAY APPLY. NOTWITHSTANDING THE FOREGOING, NOTHING IN THIS CLAUSE SEEKS TO EXCLUDE LIABILITY FOR DEATH OR PERSONAL INJURY.
8. INDEMNITY.
You agree to indemnify and hold SAGE harmless, and, at SAGE’s request, to defend SAGE from and against any claim, demand, cause of action, debt, damage, loss or liability, including reasonable legal fees, to the extent that such action is based upon, arises out of, or relates to: (i) your use of (or inability to use) this Site and/or the Services; (ii) your violation of the terms and conditions of this Agreement; (iii) the infringement by you, or any other person using your Password and/or account, of any right of any person or entity; or (iv) any other activities of yours accomplished using this Site and/or the Services. You agree to cooperate as fully as reasonably required in the defense of any such claim. SAGE reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you. This indemnity shall be in addition to and not limited by any other indemnity.
9. CANCELLATION RIGHTS
(i) You confirm that you expressly consent to SAGE providing the digital content immediately after purchase. As such you acknowledge you lose your cancellation rights as set out in the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013.
(ii) In circumstances where you haven’t asked for immediate delivery of the digital content in accordance with clause 9(i), SAGE are legally prohibited from providing you with the digital content until after 14 days have expired. During this period, you have the right to cancel this agreement for no reason.
(iii) The cancellation period will expire after 14 days from the day of the conclusion of the agreement.
(iv) To exercise the right to cancel, you must inform SAGE Publications Ltd, 1 Olivers Yard, 55 City Road, London EC1Y 1SP, +44 (0) 20 7 324 8500, via email at SageMasterclassSupport@sagepub.co.uk of your decision to cancel this agreement by a clear statement (eg a letter sent by post, fax or email). You may use the attached cancellation form but it is not obligatory.
(v) To meet the cancellation deadline it is sufficient for you to send your communication concerning your exercise of the right to cancel before the cancellation period has expired.
(vi) If you cancel this agreement, we shall reimburse to you all payments received from you (including the cost of delivery, except the supplementary costs arising if you chose a type of delivery other than the east expensive standard type of delivery offered by us).
(vii) We may make a deduction from the reimbursement for loss in value of any goods supplied, if the loss is a result of unnecessary handling by you.
(viii) We will make the reimbursement without undue delay, and not later than –
14 days after the day we receive back from you any goods supplied, or
(if earlier) 14 days after the day you provide evidence that you have returned the goods, or
If there were no goods supplied, 154 days after the day on which we are informed about your decision to cancel this agreement.
(IX) We will make reimbursement using the same means of payment as you used for the initial transaction, unless you have expressly agreed otherwise; in any event you will not incur any fees as a result of the reimbursement.
You will have to bear the direct cost of returning the goods.

10. ORDER OF PRECEDENCE.
This Agreement governs your use of the Site and access to the Services. To the extent that any provision of this Agreement, or any supplemental agreement offered as any part of any registration for additional Services on this Site, conflicts with any provision of any other agreement(s) between you and SAGE or any of its related or affiliated entities including the Notes For Users, the terms of this Agreement, shall, as to the specific subject matter of this Agreement, take precedence over the conflicting term(s) of such other agreement(s).
11. APPLICABLE LAWS.
This SAGE website is controlled by SAGE from its offices within the United Kingdom. The substantive laws of England and Wales will govern any dispute arising under this Agreement, and the courts of England shall have jurisdiction, without regard to any conflict of laws provisions.
12. GENERAL.
Without limiting any other remedy available to us, we may suspend or terminate this Agreement and your access to the Services and/or Site under this Agreement if we have reason to believe that you have failed to comply with your obligations under this Agreement. Upon termination, cancellation or expiration of this Agreement for any reason and by either party, you agree to cease all use of the Services. Certain provisions of these terms and conditions may be superseded by expressly designated legal notices or terms located on particular pages at this Site or in conjunction with the Services. No delay or failure to enforce any provision of this Agreement will constitute a waiver of such provision by SAGE or act as estoppel against later enforcement. Subject to the terms of the section captioned ORDER OF PRECEDENCE, this Agreement constitutes the entire agreement between you and SAGE with respect to the specific subject matter addressed herein, and governs your use of the Services, superseding any prior agreements between you and SAGE relating to such subject matter, but this Agreement may be supplemented by any other agreement you enter into with SAGE pursuant to a registration to access certain features of the Site .You may not assign any of your rights or delegate any of your obligations under this Agreement without the prior written consent of SAGE. You may not assert any claim or cause of action arising out of or relating to your use of the Services more than one year after the date such claim or cause of action arose. SAGE shall not be deemed to be in breach of this Agreement due to any delay or failure of performance or interruption in the availability of the Services resulting directly or indirectly from any act of nature or other cause beyond the reasonable control of SAGE. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavour to give effect to the parties’ intentions as reflected in the provision, and that the other provisions of this Agreement remain in full force and effect. The section headings used in this Agreement are for convenience only and have no legal or contractual effect.
SAGE may terminate this Agreement for any reason at any time without any advance notice to you and without any liability. Notwithstanding any such early termination, Sections 2 through 12 of this Agreement shall survive any expiration, cancellation or termination of this Agreement.
BY USING OR ACCESSING THIS SITE OR THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTAND AND AGREE TO BE LEGALLY BOUND BY THIS AGREEMENT AND THESE TERMS OF SERVICE.
